Terms & Conditions of Rental & Lease

Terms governing the rental and lease of medical equipment from A Biomedical Service Inc.

Agreement

These Terms and Conditions of Rental and Lease are incorporated by reference into any rental or lease agreement between A Biomedical Service Inc. (Lessor) and the Customer (Lessee). By accepting delivery of rented or leased equipment, the Lessee agrees to be bound by these terms. A Biomedical Service rejects any conflicting terms unless explicitly approved in writing by an authorized manager.

Rental Period

The rental or lease period begins on the delivery date and continues for the term specified in the rental agreement. Short-term rentals may be extended upon mutual written agreement. Failure to return equipment at the end of the agreed term without authorization may result in additional rental charges calculated at the applicable daily or weekly rate.

Equipment Condition

Equipment is delivered in good working condition, cleaned, calibrated, and certified for clinical use. The Lessee is responsible for:

  • Maintaining the equipment in good working order throughout the rental period
  • Using equipment only for its intended clinical purpose and within its specified operating parameters
  • Following all applicable manufacturer guidelines and safety protocols
  • Notifying A Biomedical Service immediately of any malfunction, damage, or safety concern
  • Not modifying, disassembling, or performing unauthorized repairs on the equipment

Damage and Loss

The Lessee is responsible for all damage to or loss of the equipment during the rental period, except for normal wear and tear. Damage caused by misuse, negligence, accident, or unauthorized modification will be charged to the Lessee at current repair or replacement cost. The Lessee is encouraged to maintain adequate insurance covering the full replacement value of rented equipment.

Payment Terms

Rental or lease payments are due as specified in the rental agreement. Late payments may be subject to a late fee. All fees, including delivery, setup, pickup, and cleaning charges, are specified in the rental agreement. Deposits, where required, will be returned within 14 business days of equipment return, less any applicable damage or late fees.

Delivery and Pickup

Delivery and pickup of rental equipment within our service area may be arranged for an additional fee. The Lessee must ensure a suitable environment for equipment storage and operation, including proper power, temperature, and humidity conditions as specified by the manufacturer.

Return of Equipment

Equipment must be returned in the same condition as received, subject to normal wear and tear. The Lessee is responsible for cleaning and proper packaging of equipment prior to return shipment, if applicable. Equipment returned in unsatisfactory condition may incur cleaning or repair fees.

Termination

A Biomedical Service reserves the right to terminate a rental agreement and demand immediate return of equipment if the Lessee fails to make timely payments, misuses the equipment, or breaches any material term of this agreement. Early termination by the Lessee may be subject to early termination fees as specified in the rental agreement.

Ownership

All rented or leased equipment remains the sole property of A Biomedical Service Inc. at all times. Rental or lease of equipment does not constitute, and shall not be construed as, a sale or transfer of ownership unless a separate purchase agreement is executed.

Limitation of Liability

A Biomedical Service Inc.'s liability for any claim arising from rental or lease services is limited to a refund of rental fees paid for the period in question. We are not liable for incidental, consequential, or indirect damages, including but not limited to lost revenue, interrupted patient care, or regulatory penalties arising from equipment failure or malfunction during the rental period.

Governing Law

These Terms and Conditions shall be governed by the laws of the State of California. Any disputes shall be subject to the exclusive jurisdiction of the courts of Fresno County, California.
